1. Acceptance of Terms

By accessing and using UNISEN Systems' software products and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

UNISEN Systems provides enterprise resource planning (ERP) software solutions and related services as described on our website, including but not limited to:

• LedgerOne ERP: Web-based business management system
• AccountOne ERP: Offline business management system
• Custom Solutions: Tailored software development services
• Other Products and Services: Additional software products and services as may be offered from time to time

We reserve the right to modify, add, or discontinue any products or services at our discretion with reasonable notice to affected users.

3. User Accounts and Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. License and Usage Rights

Subject to your compliance with these Terms, UNISEN Systems grants you a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes.

You may not:

• Copy, modify, or create derivative works of the software
• Reverse engineer, decompile, or disassemble the software
• Rent, lease, lend, sell, or sublicense the software
• Remove or alter any proprietary notices or labels
• Use the Services for any illegal or unauthorized purpose

5. Payment and Fees

Certain Services require payment of fees. You agree to:

• Pay all applicable fees as described in your service agreement
• Provide current, complete, and accurate billing information
• Pay all charges incurred under your account
• Be responsible for all applicable taxes

Fees are non-refundable except as required by law or as explicitly stated in our Refund Policy.

5.1 Payment Processing

Payments are processed through third-party payment gateways. You acknowledge and agree that:

• UNISEN Systems is not responsible for payment gateway failures, errors, or delays
• Payment gateway providers have their own terms and conditions
• Transaction fees charged by payment gateways are non-refundable
• Currency conversion fees (if applicable) are your responsibility

5.2 Payment Failures

In the event of payment failure:

• You are responsible for ensuring sufficient funds and valid payment methods
• UNISEN Systems is not liable for any consequences resulting from failed payments, including service interruptions
• Failed payments may result in suspension or termination of services
• You remain obligated to pay any outstanding amounts
• Additional fees may apply for failed payment attempts
• If a payment fails due to payment gateway issues beyond your control, please contact us immediately to resolve the matter

5.3 Disputed Charges

If you believe you have been incorrectly charged, please contact us within 30 days of the charge. We will investigate and resolve the matter in good faith.

6. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy. You retain all rights to your data, and we will not access or use your data except as necessary to provide the Services or as required by law.

7. Intellectual Property

All intellectual property rights in the Services, including software, documentation, trademarks, and content, are owned by UNISEN Systems or our licensors. These Terms do not grant you any rights to our intellectual property except as expressly stated.

8. Support and Maintenance

Support and maintenance services are provided according to your service plan:

8.2 Support Hours

Standard support is available:

• Hours: 9:00 AM - 6:00 PM Pakistan Standard Time (PKT)
• Days: Monday - Saturday
• Holidays: Support may be limited on public holidays

Enterprise customers may have extended or 24/7 support as specified in their service agreement.

8.3 Response Time Targets

We strive to respond to support requests based on severity:

• Critical Issues (service unavailable): Target response within 4 hours during support hours
• High Priority (major functionality impaired): Target response within 8 hours during support hours
• Medium Priority (minor issues): Target response within 24 hours
• Low Priority (general questions): Target response within 48 hours

These are target response times, not guarantees. Actual response times may vary based on request volume and complexity.

8.4 Service Availability

For LedgerOne ERP and cloud-based services:

• We target 99.5% uptime (approximately 3.6 hours of potential downtime per month)
• Scheduled maintenance will be performed during low-traffic hours with advance notice when possible
• Emergency maintenance may be performed without notice for critical security or stability issues

AccountOne ERP is an offline desktop application and is not subject to uptime commitments.

8.5 Updates and Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We may provide updates and improvements to enhance functionality, security, and performance.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UNISEN SYSTEMS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNISEN SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless UNISEN Systems, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in Karachi, Pakistan.
